Global Network Health Report

Procedures

  • Adopt a Charter for the Global Network Council
    • GNC – Publicity
      • Publicity of the GNC mtgs/notes
        • Issue: GNC Meeting notes will be public for the people in the network.
        • Consensus: Agreed, with exceptions for elements that can’t be shared for privacy or other sensitive reasons.
    • Executive Committee report/transparency
      • Issue: Are Executive Committee reports available to members of the GNC?
      • Consensus: Both reports/notes and agenda will be public to all members of the GNC. How to do this will be decided later by Executive Committee.
  • GNC – Composition
    • Membership Committee: for GNC members or to Network members?
      • Issue: Who can be a member of the committee? GNC Representatives alone or is this open to other Network Members?
      • Consensus: Start by limiting it to GNC members and then gradually change when and if needed
    • Voting by proxy / absent
      • Issue: What happens if someone isn’t able to join a meeting? Can they proxy their vote to another person?
      • Consensus: Not including proxy voting at this stage.The assumption is to have all decisions made by consensus rather than through voting, and for all members to make attendance at meetings and participation in between meetings a priority. But in the case of voting and quorums requirements, we can explore proxy voting later.
    • Rotation of HQ representatives
      • Issue: Should CC HQ representatives rotate?
      • Consensus: No change. CC HQ needs to be able to appoint the best representative to serve the GNC and its needs.
  • GNC – Other
    • Some items not defined
      • Issue: The charter doesn’t strictly define many rules
      • Consensus: Goal should be to keep things simple and flexible in the beginning – we can change or define things as we go along or if the GNC identifies a specific need for a rule or guideline.
    • Charter amendment
      • Issue: Can the charter be changed in the future by CC HQ?
      • Consensus: Yes, all documents can be reviewed and changed in the future. CC HQ will to collaborate with the GNC and the broader network if updates are necessary, as we did with the original Charter. The text was amended to include all legal requirements and obligations that CC has in the US.

Adopt a Charter for the Executive Committee

  • ExCom members period 1 year?
    • Issue: How long should members of the Executive Committee serve?
    • Consensus: Have 1-year term for members of the GNC for healthy rotation in the composition of these committees. It can be reviewed later.
  • Publicity over agenda /notes
    • Issue: GNC Meeting notes will be public for all GNC Representatives.
    • Consensus: Agreed, with exceptions for elements that can’t be shared for privacy or sensitivity reasons.
  • What if appointed Executive Committee is replaced at chapter?
    • Issue: What happens when someone is replaced by the chapter and has not completed serving their term?
    • Consensus: If you are removed from GNC, you are also removed from the committees. Chapters can designate a replacement for the GNC but not on the committees. The GNC and/or committees will figure out a process to replace the person on the committee.
  • Adopt a Charter for the Membership Council 1 year term?
    • Issue: How long should members of the Membership Council serve?
    • Consensus: Have 1-year term for members of the GNC membership council for healthy rotation in the composition of these committees. It can be reviewed later.
  • Consensus – what if there’s any?
    • Issue: What happens when there isn’t any consensus?
    • Consensus: So far, the Interim Membership Council Works 100% by consensus. In the case of need a voting, CC is implementing a way of voting on the Network site to be used when needed.
  • Voting by proxy / absent
    • Issue: What happens if someone isn’t able to join a meeting? Can they proxy their vote to another person?
    • Consensus: Same as with Council.
  • How to deal w/ problematic applications – more rules?
    • Issue: How do we deal with applications that are rejected by the Membership Council or other troublesome applications?
    • Consensus: Give the membership council space to decide how to deal with these issues.

At the end of the meeting, there was a consensus that the Chair with the CC Legal Counsel to include some minor changes in the documents required. Because of the foundational nature of the Charter documents discussed, within the upcoming days, the Chair will send a summary of this notes and a final version of the Charters to be approved by voting using the Creative Commons Network website.
